Seller Terms

1. Eligibility and Registration

Sellers must be at least eighteen (18) years of age or the age of majority in their jurisdiction, possess all required licenses or authorizations to sell the listed goods, and complete Westrn’s registration and verification process. All business and payment details provided must be accurate and kept up to date.

2. Product Listings and Virtual Inventory

Westrn operates using a "virtual inventory" system. Sellers may list items they are willing to sell without holding pre-committed stock at a Westrn facility. Sellers agree that their listed price reflects a genuine willingness to transact and that Westrn may fulfill customer orders based on algorithmic selection, including price, availability, and platform performance. Once selected, Sellers must fulfill orders promptly and in accordance with Westrn’s instructions, including shipping or drop-off to designated locations.

3. Product Condition and Accuracy

Product listings must be accurate, including condition descriptions and, where applicable, photos. Sellers represent and warrant that all listed items conform to the described specifications, are free from undisclosed defects, and include all required components. All regulatory markings, serial numbers, or compliance features must remain intact and visible.

4. Pricing and Market Discipline

Westrn may suggest pricing adjustments based on live market data. Listings that are priced far above market averages may be suppressed or deprioritized by the platform. Sellers are strictly prohibited from coordinating prices with other sellers or manipulating listings to distort competitive behavior.

5. Fulfillment and Logistics

When a sale is triggered, Sellers must package and ship the product or otherwise deliver it to Westrn’s designated technician or facility within the required timeframe. Items must be securely packaged to prevent damage in transit. Cooperation with Westrn’s fulfillment network is a condition of continued participation.

6. Ownership and Title Transfer

Sellers must have full legal ownership of all listed inventory. Title to the product transfers only after Westrn or its agent has received the item, verified condition, and confirmed acceptance. In some cases, title may transfer upon confirmed receipt by the end buyer or per written confirmation by Westrn.

7. Payments and Payouts

Seller payouts will be processed following confirmed delivery and intake clearance, in accordance with Westrn’s published payout schedule. Payments may be adjusted for returns, non-compliance, or breach of platform rules. All payments are disbursed using the Seller’s verified payout method.

8. Returns, Refunds, and Warranty Obligations

Sellers must accept returns that fall within Westrn’s buyer protection and warranty policies. If a returned item is found defective or misrepresented, the Seller’s payout may be reduced or revoked. Sellers are expected to cooperate in good faith with all warranty or return investigations.

9. Conduct and Prohibited Behavior

The following actions are prohibited: listing counterfeit, stolen, or restricted goods; attempting to circumvent the Platform to transact with buyers directly; using the Platform to promote external businesses or sales; or engaging in abusive, misleading, or harassing behavior toward buyers or Westrn staff.

10. Suspension and Termination

Westrn may suspend or terminate Seller accounts for repeated fulfillment failures, breach of these terms, provision of false information, or any conduct that violates law or damages platform integrity.

11. Indemnification

Sellers agree to indemnify and hold harmless Westrn and its affiliates from any loss, claim, or legal action arising from breach of this Agreement, sale of defective or misrepresented goods, or violation of law.

12. Limitation of Liability

To the fullest extent permitted by law, Westrn’s total liability to any Seller shall be limited to the payout amount due to that Seller at the time of claim. Westrn shall not be liable for indirect, incidental, or consequential damages of any kind.

13. Governing Law and Jurisdiction

This Agreement is governed by the laws of the State of Idaho, and all disputes shall be brought in the courts of Shoshone County, Idaho, unless Westrn designates another forum.

14. Updates and Modifications

Westrn may revise these Seller Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the revised terms.

15. Entire Agreement

This Agreement represents the entire understanding between the Seller and Westrn regarding the sale of goods through the Platform and supersedes all prior or contemporaneous agreements.
